15. Data Processing Addendum (DPA) – Enterprise Clients
For enterprise customers, SmartLearn LMS acts as a Data Processor and the client organization acts as the Data Controller (unless otherwise agreed). The following terms apply unless superseded by a signed agreement:
15.1 Scope of Processing
We process personal data solely for the purpose of providing LMS services, including hosting, user management, course delivery, reporting, and support.
15.2 Instructions
We will process personal data only on documented instructions from the Controller, including with regard to transfers to a third country.
15.3 Confidentiality
All personnel authorized to process personal data are bound by confidentiality obligations.
15.4 Security Measures
We implement appropriate technical and organizational measures, including encryption in transit, access controls, logging, and regular security reviews.
15.5 Sub-processors
We may engage sub-processors (e.g., cloud hosting, analytics, support tools). We ensure they are bound by data protection obligations equivalent to this Policy. A list of sub-processors is available upon request. We will provide notice of material changes where required.

We will assist the Controller, where reasonably possible, in responding to data subject requests (access, rectification, erasure, restriction, portability, objection).

15.8 Data Transfers

16. SaaS Terms for Enterprise Clients
16.1 License Grant
Subject to the agreement, we grant a non-exclusive, non-transferable, limited license to access and use SmartLearn LMS during the subscription term.
16.2 Acceptable Use
Clients shall not misuse the platform, attempt unauthorized access, reverse engineer the service, or upload unlawful content.
16.3 Availability & Support (SLA)
We aim to maintain high service availability (target uptime may be defined in the commercial agreement). Scheduled maintenance and force majeure events are excluded. Support is provided via agreed channels and response times.
16.4 Data Ownership
Customer Data remains the property of the client organization. We do not claim ownership of any training content or user data uploaded to the platform.
16.5 Backup & Recovery
We maintain regular backups and disaster recovery procedures designed to protect Customer Data and ensure service continuity.
16.6 Suspension & Termination
We may suspend access in cases of security risk, non-payment, or violation of terms. Upon termination, access will cease and data handling will follow Section 15.10.
16.7 Limitation of Liability
To the maximum extent permitted by law, our liability is limited to the fees paid under the applicable subscription for a defined period, except in cases of gross negligence, willful misconduct, or where liability cannot be excluded by law.
16.8 Indemnification
Each party agrees to indemnify the other against claims arising from breach of obligations, misuse of the service, or violation of applicable laws.
16.9 Governing Law
Governing law and jurisdiction will be defined in the master services agreement (MSA) or order form with the client.
